CHARTER, BY-LAWS and HOUSE RULES of the LANCASTER COUNTY SPO

ARTICLE I Charter

  

The Lancaster County Sportsmen's Association, Inc., here in after 'the Association' is located at 573 Hilldale Road in the City of Holtwood, Pennsylvania.

The Association holds a legal charter granted and instituted March 15, 1930, and was incorporated under the laws. of Pennsylvania. The purpose for which the Association is formed is to promote social interaction among the members and fellow sportsmen and to develop and promote conservation of the natural resources with particular interest to those of Lancaster County. The Association is to exist perpetually. The Association shall have no capital stock.

ARTICLE II Qualification for 1\1embership

  American citizens, over twenty-one (21) years of age with good moral character and in good health shall be eligible to apply for membership in the Association.

ARTICLE III Initiation Fee and Dues

  The initiation fee for new members and dues for all members shall be determined by the Board of Directors and shall be payable yearly.

Should it appear that a 1\1-member is delinquent in his or her dues; fines and assessments for thirty (30) days, the Secretary shall then notify said member that if no payment is made at the expiration of sixty (60) days, said member will be suspended from the Association and not entitled to any benefits or privileges until such time as said dues are paid in full.

ARTICLE IV Membership

     

Section 1. New Member Application

   

New candidates for membership must be proposed by a member in good standing, submit a written application and pay initiation fees and dues as determined by the Board of Directors.


Section 2. New Member Election

New member applications will be voted upon at the next regularly scheduled Board meeting. Any candidate receiving a majority vote of the membership present shall be declared elected to membership. Those candidates not receiving a majority vote shall be notified andany fees and dues that \Vere paid by said rejected candidate will be refunded.

Section 3. Classes of Members

The membership shall consist of two classes: Regular members and Honorary Lifetime members.

a Social Members. Social members will be permitted to join the Association as new members by applying for membership, paying initiation fee and dues as determined by the Board of Directors and being accepted by the Association. Social members are entitled to benefits. Social members must live in accordance and be guided by the Rules, Constitution, and By-laws.

b. Honorarv Lifetime 1vfembers. Honorary Lifetime membership may be granted to an individual by majority vote at any regular or special meeting. Said member will be qualified for having performed some meritorious act or attained eminence in pursuits of conservation, fishing, hunting, forestation or water purification. Honorary lifetime members shall be exempt from obligation for dues.

Section 4. l\1ernbership Rules

Any Officer, Manager or House Committee Member has full authority and is required to strictly enforce the Membership Rules.

a. Rules of Order. All members must submit to the rules provided for in the By-Laws and Rules of Order.

b. Responsibility for Dues. Each and every member must be paid in full by October 1.

c. Liquor. No refreshments are to be taken from the rooms covered by the liquor license at anytime by any person.

d. Dram Shop Rule. No refreshments shall be served to anyone in an intoxicated condition.

e. Minors. Minors with a member shall be allowed weekdays until 9:30 p.rn. Persons aged 18 and over with a member shall be allowed on Friday nights. No one under 21 shall be admitted after 9:00 p.m. on Saturday nights. Any member violating this rule shall be fined $1.00 for the first offense, and after any second offense the Board will consider penalty up to and including expulsjon

   

next regular meeting.

f. Conduct. All members shall act with the utmost good conduct while on the premises of the Association. Profane language, boisterous or ungentlemanly conduct or intoxication is strictly prohibited. Any member causing disturbance may be ejected and excluded from the Association until such time as the Board may take further action. Charges may be brought against said member and said member may be tried at the next regular meeting of the Board. Notice of the hearing will be sent to said member who then has the right to attend the meeting and present his or her defense. A member found to be in violation shall be penalized at the discretion of the Board. Any second conviction may result in permanent ejection.

A member is responsible for all guests brought into the club. If a guest creates a disturbance, the inviting member shall escort the guest from the premises. Failure to do so may result in charges of unbecoming conduct being pursued against the member.

g. Property Dama2: e. Any destruction or injury to property of the Association or otherwise shall be paid for by the person committing such injury, and the amount shall be determined by the House Committee.

h. Solicitation. No subscriptions, tickets or merchandise selling shall be circulated or exposed or advertisementsdisplayed in the Association without theconsent ofthe House Committee.

i. Panhandling. A member panhandling will be expelled on second offense.

j. Suspension. Any member can be suspended for any violation. In the interest of safety, a temporary suspension can be levied by the Manager, Trustees or Officers without Board approval pending vote at the next regular Board meeting.

k. Reinstallation. Any new candidate who has not been accepted by the Association and any member who has been suspended by the Association, may be reinstalled by determination of the Board after initiating the application process.

1. Litigation. It will be the duty of any member who may desire to enter litigation against the Association according to our By-Laws to first present his case to the Executive Board of O.fficers and make every effort through the Association and these By-Laws to reach a satisfactory settlement before initiating legal action.

Section 5. Member Meetings

a. Regular Meetings. The regular meeting of the Association shall be held on the second Wednesday of January, April, July and October at 8:00 p.m.or such other time as may be determined by the Association and posted no later than 24 hours prior to said meeting. The meeting night may be changed at any regular meeting when approved by two-thirds of the members present.

b. Special Meetings. A special meeting may be called by the President or Board member or upon written request of not less than three (3) members in good standing. Notice must be posted not less than twenty-four (24) hours in advance and no business other than that for which the special meeting was called shall be transacted.

  

c. Quorum. Three (3) members will constitute a quorum for the transaction of business at a regular or special meeting.

d. Order of Business. The following shall be the order of business at member meetings:

1. Opening - call to order;

2. Roll call of officers;

3. Reading of minutes;

4. Officers report;

5. Committees report;

6. Proposition for membership;

7. Deferred business;

8. Nomination of officers (September);

9. Election of officers (October);

10. Installation of officers (October);

11. New Business;

12. Adjournment.

Article V OFFICERS AND Management

   

Section 1. Officers

The elected Officers of this Association are President� Vice-President, Secretary> Membership Secretary, Treasurer, and three (3) Trustees.

Section 2. Term

The President, Vice-President, Secretary and Treasurer \vill be elected for a one-year term.

Each Trustee shall be elected for a term of three years.

Section·3. Qualifications

Members who have been in good standing for one (1) year or more� shall be entitled to be elected officers of the Association.

Section 4. Nomination and Election

The nomination of officers will be held in September. All nominations must be made at or received in writing at or before the time of the September meeting of th.e Association. No nomination will be taken from the floor on the night of the election.

   

The election of officers will be held in October by ballot with votes taken from 2 - 9 pm.

The election shall be by secret ballot.

The installation of officers will take place at the October meeting.

Section 5. - President

The duty of the President is to preside at all meetings of the Association, preserve order, decide all questions of the Association subject to appeal and cast the deciding vote in all questions except at the election of officers. The President shall at the first meeting after being installed appoint committees such as auditing and any other committees as the Association and the laws of the Association may prescribe. And the President shall be ex-officio chairman of all committees. The President shall have the privilege of removing any appointees at any time it is deemed to be in the best interest of the Association. The President shall perform such other duties as may be incjdent to the office of President and all other duties required by the laws of the Association.

Section 6. Vice-President

The Vice-President shall preside at all meetings of the Association in the absence or disability of the President and shall perform all other duties usually incident to the office of Vice-President.

Section 7. Secretary

The Secretary shall collect and keep a book record of the names, addresses, dues: fines: and assessments, the day and date they were received and the expiration of the dues. The Secretary shall keep a proper record of the proceedings of the Association and perform such other duties as may be incident to the Office of Secretary. The Secretary is responsible for ·written notification to the members. The Secretary shall have control of the Association minute books and seal.

Section 8. Membership Secretary

The Membership Secretary shall be responsible for maintaining all membership documentation and reporting applications and admissions of members and perform such other duties as may be incident to the Office of the Membership Secretary.

Section 9. Treasurer

The Treasurer shall receive all monies of the Association and give receipt therefor, pay bills and perform such other duties as may be incident to the Office of Treasurer. At term expiration the Treasurer shall deliver to the successor Treasurer all monies, books, papers, and other property in said Treasurer's possession belonging to the Treasurer's office.

Section 10. Trustee

The Trustees shall be entrusted with the supervision of investments and property of the Association. They will be the custodians of the Association's properties and have authority of employing and dismissing employees. Tue Trustees shall be members of the Board and have authority over the daily operation of the Association pertaining to days and hours of operation, wages, policies, etc.

   

Section 11. Manager

The Manager shall be employed by the Trustees and under the jurisdiction of the Trustees and Board, shall maintain his or her position as long as he or she is working for the best interest of the Association.

a. Social Quarters. The Manager at all times shall manage the affairs of the Social Quarters in a business-like manner.

b. Liquor Control. The Manager shall be responsible for the following rules pertaining to

   

Liquor:

i) No intoxicating liquors are sold to minors.

ii) Only members of the Association in good standing will be permitted to

  

purchase intoxicating liquors.

iii) Liquor will only be served in rooms licensed by the Association.

iv) Positively no liquor shall be carried off the Association premises.

c. Purchases. The Manager will purchase all stock, supplies, and material needed for the operation of the building, bar, and meeting rooms subject at all times to the approval of the Association.

d. Equipment. The Manager shall be custodian and shall have control of the equipment of the building.

e. Employees. The Manager will be responsible for employees of the Association and shall employ persons who are honest� courteous, and polite.

f. Payments and Receipts. At the end of each day, the Manager shall pay cash to the employees and shall account for all monies paid or received by him and keep record of payments and receipts. The manager shall present bills to be paid to the Association for payment, bills shall be examined, investigated, and approved by the Association before payment, and then presented to the Treasurer or Manager by the Secretary for payment.

Section 11. Vacancy.

Vacancies in any office by death, resignation or any other reason, shall be appointed by the President and approved by a majority of the Board and said appointment shall be valid until the next regularly scheduled election.

Article VI Board of Directors

Section 1. The Board

The President, Vice-President, Secretary, Membership Secretary, Treasurer and Trustees shall make up the Board of Directors.

  

Section 2. Duties

The government, regulations and control of the Social Quarters maintained by the Association is vested in the Board. The Board shall manage and conduct the business of the Association. The Board may prepare and formulate the rules and regulations to govern the operations of the Association and the conduct of all members of the Association in connection therewith. The Board shall examine income, accounts and expenditures of the Association and provide ways and means for spending, collecting and managing Association assets. The Board may act on all propositions for membership, approve expenditures, debts or obligations ofthe Association and report their actions at regular meetings. The Board may assign any committees or sub-

committees as it may determine necessary in order to fulfill the goals and purposes of the Association.

Section 3. Board Meetings

The regular meeting of the Board may be held on the second Wednesday of each month commencing at 8:00 p.m. or such other time as the Board may decide so long as said change of time is made known to members of the Board at least 24 hours in advance. The Board shall rep01t their deliberations to the Association at the subsequent general member meeting.

Section 4. Special BoardMeetings

The President may at any time call a special meeting of the Board. At such meetings, no business shall be transacted except such as may be stated in notice of such call and the place of meeting shall be in our Association’s rooms, unless otherv.11.se provided.

Section 5. Quorum

Three duly qualified Board members shall constitute a Quorum for the transaction of the ordinary business of the Association. 

Article VII AMENDMENTS

These By-Laws or any part thereof may be amended by presenting a written resolution at a Board meeting. If approved by the Board, the amendment shall be read at the next general member meeting at which it may be discussed, voted upon or tabled. In order to pass the proposed amendment, it must be approved by two-thirds vote of all members present.

The Trustees shall be entrusted with the supervision of investments and property of the Association. They will be the custodians of the Association's properties and have authority of employing and dismissing employees. The Trustees shall be members of the Board and have authority over the daily operation of the Association, pertaining to days and hours of operation, wages, policies, etc.

You must be on the Board for 3 years and with good standing before running for trustee. Amended on July 21st, 2021.
